These Terms of Service (“Terms”) govern your access to and use of the Services and any purchase made through the Site.

By visiting the Site, creating an account, placing an order, submitting content, or otherwise using the Services, you agree to be bound by these Terms, our Privacy Policy, Refund Policy, Shipping Policy, and any additional policies or notices made available through the Site.

If you do not agree to these Terms, you must not access or use the Services.

6. PICKLEBALL EQUIPMENT AND ATHLETIC ACTIVITY

Pickleball and other athletic activities involve inherent risks, including falls, collisions, overexertion, equipment failure, and physical injury.

Products sold through the Site must be used:

  • Only for their intended purpose.

  • According to applicable manufacturer instructions.

  • With appropriate training, supervision, and protective equipment.

  • In a safe environment and in compliance with facility rules.

  • After inspection for visible damage, wear, or defects.

You are responsible for determining whether a product is appropriate for your age, ability, physical condition, skill level, and intended use.

Nothing on the Site constitutes medical, health, safety, coaching, or professional advice. Consult an appropriate professional before beginning a new athletic activity if you have medical or physical concerns.

Nothing in this section excludes liability that cannot legally be excluded.

7. TOURNAMENT APPROVAL AND CERTIFICATIONS

If a product is described as approved, certified, or eligible for tournament play, that description is based on information available from the manufacturer or applicable governing organization at the time of publication.

Equipment approval lists and tournament requirements may change. You are responsible for confirming current eligibility with the applicable league, tournament, facility, or governing organization before competing.

Díaz Dynamics does not guarantee that a product will remain approved for every competition, organization, division, or event.

8. PRICES, TAXES, AND CHARGES

All prices are displayed in the currency identified at checkout and may change without notice.

The price charged for a product will be the price displayed at the time your order is submitted, subject to correction of obvious pricing or technical errors.

Applicable taxes, shipping costs, duties, and other charges will be calculated or disclosed during checkout when possible.

Customers are responsible for customs duties, import taxes, brokerage charges, or similar fees imposed by the destination jurisdiction unless expressly stated otherwise.

Promotional prices, discount codes, and offers:

  • May be subject to additional conditions.

  • May have expiration dates.

  • May be limited to specific products or customers.

  • May not be combined unless expressly permitted.

  • Have no cash value.

  • May be modified or discontinued as permitted by law.

9. ORDERS AND ACCEPTANCE

Submitting an order does not guarantee that the order has been accepted.

After you place an order, you may receive an automated acknowledgment. This acknowledgment confirms receipt of the order but does not necessarily constitute final acceptance.

We reserve the right, subject to applicable law, to refuse, cancel, or limit an order for legitimate reasons, including:

  • Product unavailability

  • Pricing or description errors

  • Suspected fraud or unauthorized payment activity

  • Violation of purchase limits

  • Shipping restrictions

  • Incorrect customer or delivery information

  • Technical or inventory errors

  • Suspected unauthorized resale

  • Violation of these Terms

If we cancel an order after payment has been captured, we will issue an appropriate refund to the original payment method.

We may limit quantities purchased per person, household, account, payment method, billing address, shipping address, or order.

10. PAYMENT

You agree to provide current, complete, and accurate billing and payment information.

Payments are processed by Shopify Payments or other third-party payment providers available at checkout. Your use of a payment provider may be subject to that provider’s terms and privacy practices.

You authorize Díaz Dynamics and its payment processors to charge the total amount shown at checkout, including applicable taxes, shipping costs, and other disclosed charges.

An order may be delayed or canceled if payment cannot be authorized, verified, or completed.

11. SHIPPING AND DELIVERY

Shipping destinations, methods, costs, and estimated delivery timeframes are displayed during checkout or explained in our Shipping Policy.

Delivery estimates are not guarantees. Delays may occur because of carrier operations, weather, emergencies, customs processing, incorrect address information, high order volume, or circumstances outside our reasonable control.

You are responsible for providing a complete and accurate delivery address. Díaz Dynamics is not responsible for delays or additional costs caused by incorrect, incomplete, or outdated information supplied by the customer.

If we cannot ship an order within the promised timeframe, we will provide any notice, cancellation option, or refund required by applicable law.

Additional shipping terms are provided in our Shipping Policy, which is incorporated into these Terms.

12. RETURNS, EXCHANGES, AND REFUNDS

Returns, exchanges, cancellations, and refunds are governed by the Refund Policy posted on the Site.

You are responsible for reviewing the Refund Policy before completing a purchase.

Unless required by law, products are not eligible for return or refund merely because of normal wear, misuse, accidental damage, improper storage, unauthorized modification, failure to follow instructions, or a change in tournament approval after purchase.

Nothing in these Terms or our Refund Policy limits any mandatory warranty, refund, or consumer-protection right that cannot legally be waived.

13. DAMAGED, DEFECTIVE, OR INCORRECT PRODUCTS

You should inspect your order promptly after delivery.

If an item arrives damaged, defective, incomplete, or different from the product ordered, contact us as soon as reasonably possible at diazdynamicspr@gmail.com.

Include:

  • Your order number

  • A description of the issue

  • Photographs or video showing the product and packaging

  • Any relevant shipping labels

  • Your preferred contact information

Do not discard the product, original packaging, shipping box, or labels until the claim has been reviewed.

We may require reasonable evidence or the return of the product before approving a replacement, refund, warranty claim, or other resolution.

14. MANUFACTURER WARRANTIES

Some products may be covered by a warranty provided by the manufacturer.

Manufacturer warranties are subject to the manufacturer’s eligibility requirements, limitations, exclusions, claim procedures, and warranty period.

Unless expressly stated in writing, Díaz Dynamics does not create an additional manufacturer warranty or extend the duration of a manufacturer’s warranty.

We may assist customers with manufacturer warranty information, but the manufacturer may retain final authority over warranty eligibility and resolution.

15. ACCOUNTS AND ACCOUNT SECURITY

You may be permitted to create a customer account.

You are responsible for:

  • Maintaining the confidentiality of your login credentials.

  • Providing accurate account information.

  • Restricting unauthorized access to your device and account.

  • Notifying us promptly of suspected unauthorized activity.

  • All activity performed through your account, except where prohibited by law.

We may suspend or close an account if we reasonably suspect fraud, unauthorized activity, security risks, or violations of these Terms.

16. INTELLECTUAL PROPERTY

The Site and its content, including text, graphics, photographs, videos, product presentations, logos, icons, layouts, software, code, and design elements, are owned by or licensed to Díaz Dynamics and are protected by applicable intellectual property laws.

Product names, manufacturer logos, trademarks, and brand materials may belong to their respective owners and are used for identification, distribution, or promotional purposes as authorized or permitted by law.

You may access the Site for personal, non-commercial shopping purposes. You may not, without prior written authorization:

  • Copy or republish Site content.

  • Modify or create derivative works from Site materials.

  • Use our content for unauthorized advertising or resale.

  • Remove copyright, trademark, or ownership notices.

  • Use our trademarks, business name, or branding in a misleading manner.

No license or ownership interest is transferred to you except as expressly stated.

You grant Díaz Dynamics a non-exclusive, worldwide, royalty-free, transferable, sublicensable license to use, reproduce, publish, display, adapt, and distribute that User Content in connection with operating and promoting our business, subject to applicable law.

You represent that:

  • You own or have permission to submit the content.

  • The content is accurate and reflects a genuine experience.

  • The content does not infringe another person’s rights.

  • The content is not defamatory, deceptive, obscene, threatening, or unlawful.

  • Any material relationship, incentive, or compensation connected to the content is clearly disclosed.

We may moderate or remove User Content that violates these Terms. We will not prohibit or penalize honest reviews or opinions protected by applicable law.

We do not purchase or solicit reviews that are required to express a particular positive or negative sentiment.

18. THIRD-PARTY SERVICES AND LINKS

The Site may provide access to third-party services, payment providers, shipping carriers, social media platforms, manufacturer websites, or external links.

Third-party services are governed by their own terms and privacy policies. We do not control and are not responsible for the availability, security, content, policies, or conduct of independent third parties.

A link or integration does not necessarily constitute an endorsement.

19. OPTIONAL TOOLS AND FEATURES

These features may be provided “as available” and may be subject to separate terms. You are responsible for reviewing the conditions that apply before using an optional third-party feature.

In addition to other restrictions in these Terms, you may not use the Services to:

  • Manipulate product reviews or ratings.

  • Circumvent security, geographic, quantity, or purchase restrictions.

  • Impersonate another person or organization.

  • Use bots or automated tools to purchase limited-availability products unfairly.

  • Resell products in violation of applicable distribution restrictions.

  • Engage in conduct that could damage Díaz Dynamics, its customers, or its partners.

21. ERRORS AND OMISSIONS

Occasionally, information on the Site may contain typographical errors, inaccuracies, or omissions relating to product descriptions, prices, promotions, availability, shipping charges, or delivery estimates.

Subject to applicable law, we may correct errors, update information, or cancel affected orders. If an order is canceled after payment has been captured, the applicable amount will be refunded to the original payment method.

We are not obligated to update every item of information unless required by law.

22. DISCLAIMER OF WARRANTIES

To the fullest extent permitted by law, the Site and Services are provided on an “as is” and “as available” basis.

We do not warrant that:

  • The Site will always be uninterrupted, timely, secure, or error-free.

  • Every error or technical issue will be corrected immediately.

  • Information obtained through the Site will always be complete or current.

  • Products will meet every subjective expectation or intended result.

Products may also be subject to express warranties provided by their manufacturers.

Nothing in these Terms excludes warranties, guarantees, or consumer rights that cannot legally be disclaimed.

23. LIMITATION OF LIABILITY

To the fullest extent permitted by applicable law, Díaz Dynamics LLC and its owners, officers, employees, agents, contractors, licensors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from the use of the Site, Services, or products.

This includes, where legally permitted, loss of profits, revenue, data, opportunity, goodwill, or anticipated savings.

To the extent permitted by law, Díaz Dynamics’ aggregate liability arising from a particular purchase will not exceed the amount paid for the product giving rise to the claim.

These limitations do not apply to liability that cannot legally be excluded or limited, including liability arising from fraud, willful misconduct, gross negligence, or other legally protected claims.

Some jurisdictions do not allow certain exclusions or limitations. In those jurisdictions, the limitations apply only to the maximum extent permitted by law.

24. INDEMNIFICATION

To the extent permitted by law, you agree to indemnify and hold harmless Díaz Dynamics LLC and its owners, employees, agents, contractors, licensors, and service providers from third-party claims, damages, liabilities, and reasonable expenses arising from:

  • Your unlawful use of the Services.

  • Your material violation of these Terms.

  • Your infringement of another party’s rights.

  • User Content submitted by you.

  • Fraudulent or unauthorized conduct attributable to you.

This obligation does not apply to the extent a claim results from the negligence, unlawful conduct, or willful misconduct of Díaz Dynamics.

25. PRIVACY

Our collection and use of personal information are governed by our Privacy Policy.

By using the Services, you acknowledge that personal information may be processed by Shopify and other providers necessary to operate the store, process payments, fulfill orders, prevent fraud, and deliver the Services.

26. TERMINATION

You may stop using the Services at any time.

We may suspend or terminate access if you materially violate these Terms, engage in fraud or unlawful activity, create a security risk, or misuse the Services.

Termination does not affect rights or obligations that arose before termination. Provisions that by their nature should survive will remain effective, including intellectual property, payment obligations, disclaimers, limitations of liability, indemnification, and dispute provisions.

27. GOVERNING LAW

These Terms and any transaction through the Site are governed by the laws applicable in the Commonwealth of Puerto Rico and the applicable federal laws of the United States, without regard to conflict-of-law principles.

Mandatory consumer-protection rights available in your place of residence remain unaffected where they cannot legally be waived.

28. DISPUTE RESOLUTION AND JURISDICTION

Before filing a formal legal claim, you are encouraged to contact us at diazdynamicspr@gmail.com so that we may attempt to resolve the matter directly.

Unless applicable law requires otherwise, disputes arising from these Terms, the Services, or a purchase made through the Site will be submitted to the courts with competent jurisdiction in Puerto Rico.

Nothing in this section prevents either party from seeking relief in small claims court where eligible or requesting urgent judicial relief to protect intellectual property, confidential information, or security interests.

29. SEVERABILITY

If any provision of these Terms is found invalid, illegal, or unenforceable, that provision will be enforced to the maximum extent permitted or severed where necessary.

The remaining provisions will continue in full force and effect.

30. WAIVER

A failure by Díaz Dynamics to enforce a provision of these Terms does not constitute a waiver of that provision or any other right.

Any waiver must be expressly stated in writing.

31. ASSIGNMENT

You may not transfer or assign your rights or obligations under these Terms without our prior written consent.

We may transfer these Terms as part of a merger, acquisition, reorganization, sale of assets, or transfer of the business, subject to applicable law.

32. ENTIRE AGREEMENT

These Terms, together with our Privacy Policy, Refund Policy, Shipping Policy, and other policies posted on the Site, constitute the entire agreement between you and Díaz Dynamics regarding the Services.

If a separate written agreement signed by Díaz Dynamics expressly conflicts with these Terms, the separate agreement will control only for the subject matter it addresses.
